1. Introduction and Acceptance of Terms
1.1 Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Fuerte vision, MB ("we", "us", "our", or "PrismaScribe") governing your access to and use of the PrismaScribe AI-powered transcription platform, including our website at prismascribe.ai and all related services (collectively, the "Service").
1.2 Acceptance
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1.3 Age Requirement
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1.4 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal data in compliance with the General Data Protection Regulation (GDPR) and applicable EU and Lithuanian data protection laws. Please review the Privacy Policy at /privacy.
1.5 Updates to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website with a revised "Last Updated" date;
- Sending notice to the email address associated with your account; or
- Displaying a prominent notice on the Service.
Your continued use of the Service after such notice constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using the Service and may close your account in accordance with Section 7 (if applicable).
1.6 Geographic Scope
These Terms are governed by the laws of the Republic of Lithuania and applicable European Union regulations. The Service is operated from Lithuania and is intended for users within the European Economic Area (EEA), though we may make the Service available to users in other jurisdictions.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Account" means the registered user account you create to access and use the Service.
- "AI Services" means the artificial intelligence and machine learning technologies we use to provide the Service, including transcription services powered by ElevenLabs, and translation and summarization services powered by Google Gemini API.
- "Content" means any audio files, video files, text, transcriptions, translations, summaries, metadata, or other materials that you upload, submit, store, or generate through the Service.
- "Free Tier" means the no-cost subscription plan that provides limited access to the Service with usage restrictions.
- "Personal Data" means any information relating to an identified or identifiable natural person, as defined under the GDPR.
- "Subscription Plan" means any of our paid service tiers (Starter, Premium, or Pro) that provide enhanced features and increased usage limits.
- "Third-Party Providers" means the external service providers we use to deliver the Service, including ElevenLabs, Google Gemini, Cloudflare R2, Clerk, and Stripe.
- "User Content" means all Content that you upload to or create using the Service.
3. Service Description
3.1 Overview of Service
PrismaScribe is a software-as-a-service (SaaS) platform that provides AI-powered transcription, translation, and summarization services. The Service enables you to:
- Upload audio and video files for automatic transcription;
- Receive AI-generated transcriptions with speaker diarization and audio event detection;
- Translate transcriptions into over 100 languages;
- Generate AI-powered summaries of transcribed content; and
- Export transcriptions in multiple formats (TXT, SRT, VTT).
3.2 AI-Powered Technology
The Service utilizes artificial intelligence and machine learning technologies provided by Third-Party Providers:
- Transcription: Powered by ElevenLabs AI, which processes your audio and video files to generate text transcriptions, identify different speakers (speaker diarization), and detect audio events.
- Translation: Powered by Google Gemini API, which translates transcriptions into your selected target language.
- Summarization: Powered by Google Gemini API, which generates concise summaries of transcribed content.
You acknowledge and agree that the accuracy, quality, and completeness of AI-generated outputs depend on various factors including audio quality, speaker accents, background noise, technical terminology, and the inherent limitations of AI technology.
3.3 Supported Formats
The Service currently supports the following file formats:
- Input formats: MP3, MP4, WAV, AAC, OGG, MOV
- Export formats: TXT (plain text), SRT (SubRip subtitle), VTT (WebVTT subtitle)
We may add or remove supported formats at our discretion.
3.4 Data Storage and Processing
Your uploaded files and generated Content are stored on Cloudflare R2 servers located in Western Europe. Processing of your Content may occur on servers operated by our Third-Party Providers in various locations, including the United States, European Union, and India, subject to appropriate data protection safeguards as described in our Privacy Policy.
3.5 Service Availability
The Service is provided on an "as available" basis. While we strive to maintain high availability and reliability, we do not guarantee that:
- The Service will be uninterrupted, timely, secure, or error-free;
- The results obtained from the Service will be accurate, complete, or reliable;
- The quality of any transcriptions, translations, or summaries will meet your expectations; or
- Any errors or defects in the Service will be corrected.
We do not provide any service level agreement (SLA) or uptime guarantees for any Subscription Plan, including Paid Plans.
3.6 Right to Modify or Discontinue
We reserve the right, at any time and from time to time, to:
- Modify, suspend, or discontinue the Service (or any part thereof) temporarily or permanently;
- Change the features, functionality, or capacity of the Service;
- Impose or modify Usage Limits;
- Add, remove, or modify Third-Party Providers; or
- Implement new technologies or update existing AI Services.
We will make reasonable efforts to provide advance notice of material changes that substantially reduce the functionality of your Subscription Plan. However, we may make changes immediately and without notice if required for security, legal compliance, or technical reasons.
3.7 No Professional Services
The Service is provided as an automated software platform. We do not provide professional transcription services, translation services, linguistic services, or any form of human review or verification of AI-generated outputs. You are solely responsible for reviewing, verifying, and validating all Content generated by the Service before relying on it for any purpose.
3.8 Beta Features
We may occasionally offer features designated as "beta," "experimental," "preview," or similar designations. These features are provided for testing and evaluation purposes and may not be fully functional or tested. Beta features may be modified or discontinued at any time without notice and are provided without warranties of any kind.
4. Subscription Plans and Billing
PrismaScribe offers four subscription tiers: Free, Starter (€7/month), Premium (€20/month), and Pro (€40/month). Each tier provides different usage limits for transcription hours, storage capacity, translation characters, and file sizes.
All subscription fees are processed through our payment provider, Stripe, which is PCI DSS compliant. You may choose between monthly or annual billing cycles. All prices are denominated in Euros (EUR) unless otherwise specified. You are responsible for all applicable taxes.
Automatic Renewal
All paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing to a paid plan, you authorize us to charge your payment method on each renewal date.
14-Day Cooling-Off Period (EU Consumers)
In accordance with EU consumer protection regulations, if you are a consumer based in the European Union, you have the right to withdraw from your subscription within 14 days of your initial subscription date without providing a reason. To exercise this right, you must notify us at support@prismascribe.ai before the 14-day period expires.
After the cooling-off period: Subscriptions are non-refundable. We do not provide refunds based on dissatisfaction with AI output quality, accuracy, or performance. The Free Tier is available for you to evaluate the Service's capabilities before committing to a paid subscription.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@prismascribe.ai. Upon cancellation, your access to paid features will continue until the end of your current billing period. No refund will be issued for the remaining time.
Usage Limits and Monthly Resets
Your subscription plan includes monthly allocations of transcription hours, storage capacity, and translation characters. These usage limits operate as follows:
- Monthly Reset: All usage limits reset at the beginning of each billing cycle (monthly or annual, depending on your plan).
- No Rollover: Unused transcription hours, storage capacity, or translation characters do not roll over or accumulate from one billing period to the next. Any unused quota expires at the end of your billing period.
- Active Subscription Required: Usage allowances are only available during your active subscription period. Upon cancellation or expiration of your subscription, your account immediately reverts to Free Tier limits (30 minutes per month).
- Forfeiture Upon Cancellation: If you cancel your subscription, any unused hours or quota from your paid plan are forfeited. You will not receive credit, refunds, or carry-over for unused resources.
Example: If you subscribe to the Pro plan (40 hours/month) and use only 10 hours during your billing period, the remaining 30 hours expire when your billing cycle ends. These unused hours do not carry forward to the next month. Similarly, if you cancel your subscription mid-cycle after using 10 hours, the remaining 30 hours are forfeited, and your account returns to the Free Tier (30 minutes per month) at the end of your current billing period.
Your account dashboard displays your current usage and the date when your limits will reset. We recommend monitoring your usage regularly to make the most of your subscription.
5. Acceptable Use Policy
By using the Service, you agree to:
- Upload only content that is legal and that you have the right to upload, process, and share
- Ensure you have obtained all necessary rights, licenses, permissions, and consents for any content you submit
- Comply with all applicable laws and regulations
- Ensure compliance with all applicable data protection and privacy laws, including obtaining proper consent from individuals whose voices or personal data may be processed
You may not upload, process, store, or share content that:
- Is illegal, including content that promotes terrorism, child exploitation, hate speech, or criminal activity
- Infringes upon the intellectual property rights of third parties
- Contains viruses, malware, or other malicious code
- Constitutes harassment, bullying, discrimination, threats of violence, or abuse
- Consists of unauthorized recordings made without required consent
- Contains illegally intercepted communications or recordings obtained through illegal surveillance
You may not:
- Attempt to circumvent any technical limitations, usage restrictions, or security measures
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to transmit spam or engage in automated abuse
- Interfere with or disrupt the Service, servers, or networks
- Resell, sublicense, or redistribute the Service without our express written permission
Recording Consent
You are solely responsible for ensuring compliance with all applicable recording consent laws in your jurisdiction. Many jurisdictions require all-party consent before recording conversations. You must obtain all necessary consents before recording and uploading conversations.
Indemnification
You agree to indemnify, defend, and hold harmless Fuerte vision, MB, its officers, directors, employees, and third-party service providers from any claims, liabilities, damages, losses, costs, or expenses arising out of your use or misuse of the Service, your violation of these Terms or any applicable law, your violation of any third-party rights, or any content you upload to the Service.
6. Intellectual Property Rights
User Content Ownership
You retain full ownership of all content you upload to the Service, including audio files, video files, and any other materials. You also retain ownership of all AI-generated outputs derived from your User Content, including transcripts, translations, and summaries.
License Granted by You to Us
By uploading User Content to the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and transmit your User Content solely for the purpose of providing the Service to you, processing your content through our third-party AI providers, and storing your content on our infrastructure. This license does not grant us any rights to use your User Content for training AI models, marketing, or sharing with third parties except as necessary to provide the Service.
Platform Ownership
The Service and all underlying technology, including the PrismaScribe platform, software, algorithms, user interface, design, branding, logos, trademarks, and all intellectual property rights therein, are and remain the exclusive property of Fuerte vision, MB and our licensors. Nothing in these Terms transfers any ownership rights to you.
Copyright Infringement
We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, please notify us at copyright@prismascribe.ai with: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief that the use is unauthorized, (5) a statement that the information is accurate, and (6) your physical or electronic signature.
7. Account Termination
You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at support@prismascribe.ai. Free Plan users: Your account will be deactivated immediately, and you will retain access to your data for 30 days. Paid Plan users: Your account will remain active until the end of your current billing period.
We reserve the right to suspend or terminate your account for:
- Violation of these Terms, including the Acceptable Use Policy
- Fraudulent activity or payment-related violations
- Legal compliance requirements
- Prolonged inactivity (12+ months) with 30 days' notice
- Service discontinuation with 90 days' notice and prorated refund
Upon termination, all data associated with your account, including transcriptions, audio files, and account information, will be permanently deleted in accordance with our immediate data deletion policy, unless you are within the 30-day grace period for Free Plan users or we are required by law to retain certain data.
8. Medical and Healthcare Transcription Disclaimer
If you use Fuerte vision, MB for medical, healthcare, or clinical documentation purposes, the following additional terms apply:
Not a Medical Device or Substitute for Professional Review
Fuerte vision, MB is a general-purpose AI transcription service and is not a medical device, clinical documentation system, or FDA-approved healthcare product as defined in Section 3 (Service Description). Our service is not designed, validated, or certified for use in clinical decision-making, diagnosis, treatment, or patient care.
You must verify all transcriptions before using them for any medical or clinical purpose. Healthcare providers remain solely responsible for reviewing, editing, and validating all clinical documentation generated through our service.
No Accuracy Guarantees for Medical Terminology
While our AI models are trained on diverse content including medical terminology, we make no guarantees regarding transcription accuracy in clinical settings as described in Section 9 (Disclaimers and Warranties). Medical terms, drug names, dosages, procedures, and diagnoses may be incorrectly transcribed. Any accuracy percentages mentioned in our marketing materials are general estimates and do not constitute warranties for medical use cases.
HIPAA and Healthcare Compliance
Fuerte vision, MB is not currently HIPAA-compliant. We do not execute Business Associate Agreements (BAAs). If you are a covered entity or business associate under HIPAA, you use our service at your own risk and are solely responsible for ensuring compliance with all applicable healthcare privacy laws and regulations.
You should not upload Protected Health Information (PHI), personally identifiable patient data, or other sensitive medical records unless you have obtained all necessary consents and authorizations, and you accept full responsibility for any regulatory violations.
Clinical Decision-Making and Professional Responsibility
Healthcare providers using our service are solely responsible for:
- Verifying accuracy of all transcribed medical content
- Ensuring clinical documentation meets applicable standards of care
- Obtaining patient consent for recording and transcription where required under Section 5.4 (Recording Consent)
- Maintaining proper medical records according to legal and professional requirements
- All clinical decisions, diagnoses, treatments, and patient care actions
Fuerte vision, MB is a transcription tool only. We are not involved in your clinical workflows, patient care decisions, or medical practice.
Limitation of Liability for Medical Use
In addition to the general liability limitations in Section 9 (Limitation of Liability), Fuerte vision, MB and its third-party AI providers (including ElevenLabs and Google Gemini) are not liable for:
- Medical errors, misdiagnoses, or incorrect treatments resulting from transcription inaccuracies
- Patient harm, injury, or adverse outcomes related to use of our transcription service
- HIPAA violations, regulatory penalties, or privacy breaches
- Professional liability, malpractice claims, or loss of medical license
- Any damages arising from your reliance on AI-generated transcriptions in clinical settings
You use our medical transcription features entirely at your own risk. We strongly recommend consulting with legal counsel and compliance professionals before using AI transcription tools in healthcare settings.
9. Disclaimers and Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. You acknowledge and agree that your use of the Service is at your sole risk.
We explicitly disclaim any warranty regarding the accuracy, completeness, or reliability of transcriptions or translations produced by the Service. The AI's ability to correctly interpret context, technical terminology, accents, background noise, or multiple speakers cannot be guaranteed.
To the maximum extent permitted by applicable law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
EU Consumer Protection: Under European Union consumer protection laws, including Directive 2011/83/EU, certain statutory rights cannot be excluded or limited by contract. Nothing in these Terms affects your statutory rights as a consumer under EU law. Where EU consumer protection laws apply, the disclaimers in this Section apply only to the extent permitted by applicable law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Fuerte vision, MB's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to PrismaScribe in the 12 months immediately preceding the event giving rise to the liability; or (b) EUR 100.
To the maximum extent permitted by applicable law, Fuerte vision, MB shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, loss of data, or loss of goodwill.
The limitations in this Section do NOT apply to liability for:
- Death or personal injury caused by our gross negligence or willful misconduct
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited under applicable law
EU Consumer Protection: Under European Union consumer protection laws, certain liability limitations may not be enforceable against consumers. Where you are a consumer within the meaning of EU law, the limitations in this Section apply only to the extent permitted by mandatory consumer protection provisions.
11. Dispute Resolution and Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union regulations, including the General Data Protection Regulation (GDPR) and Directive 2011/83/EU on consumer rights.
For disputes with business users, the courts of Vilnius, Republic of Lithuania, shall have exclusive jurisdiction. If you are a consumer resident in the European Union, you may bring proceedings in either the courts of Lithuania or the courts of your country of residence.
EU Online Dispute Resolution: In accordance with Regulation (EU) No 524/2013, the European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Consumers resident in the European Union may use this platform to resolve disputes with us.
Before initiating any formal dispute resolution proceedings, we strongly encourage you to contact our customer support team at support@prismascribe.ai to attempt to resolve the matter informally.
12. General Provisions
Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Fuerte vision, MB regarding the use of the Service. These Terms supersede all prior understandings, agreements, representations, and warranties regarding the Service.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the invalid provision shall be severed, and the remaining provisions shall remain in full force and effect.
Assignment
We may assign, transfer, or delegate our rights and obligations under these Terms to any third party without your consent in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
Language
These Terms are drafted in English, which shall be the authoritative and controlling version. Any translation is provided for your convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.
